Terms of Service

1. Acceptance of Terms

By creating a TorqueTalk account, downloading the TorqueTalk mobile app, visiting torquetalkapp.com, or subscribing to our newsletter (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, do not use the Service.

TorqueTalk is an unincorporated venture operated by an individual founder (referred to as “we”, “us”, or “TorqueTalk”). A formal legal entity is planned post-launch; these Terms will be updated to reflect that transition without changing the substantive rights and obligations described below.

2. What the Service Is

TorqueTalk is a social platform for car enthusiasts. It includes a mobile application (iOS at launch), a public-facing website, and a newsletter. The Service lets you create a profile, post content about your cars, attend meetups, join communities, message other users, and discover content from other enthusiasts.

3. Eligibility

You must be at least 13 years old to use the Service. By using TorqueTalk you represent that you meet this age requirement. If you are under 18, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.

You must comply with all applicable laws in your jurisdiction when using the Service.

4. Your Account

By creating an account, you agree to:

  • Provide accurate registration information (email, username, display name).
  • Keep your password secure and not share it.
  • Be responsible for all activity that happens under your account.
  • Notify us promptly if you suspect unauthorized access.

You may delete your account at any time from Settings inside the app. We retain account data for a 30-day grace period after a deletion request to allow recovery; after that, your account and personal data are permanently removed except where retention is required by law or for legitimate safety purposes (e.g., abuse-report records).

We may suspend or terminate your account if you violate these Terms or our community standards (see Section 6).

5. Your Content

When you post photos, posts, comments, messages, reviews, or any other content to TorqueTalk (“Your Content”), you keep ownership of it. You grant TorqueTalk a non-exclusive, royalty-free, worldwide license to host, store, reproduce, modify (for technical purposes such as resizing or format conversion), display, and distribute Your Content on the Service so that we can run the platform you signed up to use. This license ends when you delete the content, except for reasonable backup and audit retention.

You represent and warrant that you have all rights necessary to grant this license — including, for example, that you took the photo yourself or have permission from the person who did.

We may remove content that violates these Terms, infringes someone’s rights, or violates the law, without notice when necessary.

6. Acceptable Use

You agree not to use the Service to:

  • Harass, threaten, dox, or impersonate anyone.
  • Post hate speech, sexual content, graphic violence, or content that promotes illegal activity.
  • Spam, scrape, or run automated agents against the Service without our written permission.
  • Infringe anyone’s intellectual property rights.
  • Attempt to compromise the security of the Service or other users’ accounts.
  • Sell, trade, or solicit transactions for stolen vehicles, parts, or counterfeit goods.

The app includes tools to report content and block other users. We aim to review reports of objectionable content within 24 hours and will remove violating content and may suspend or terminate accounts that violate these Terms. Blocking another user hides their content and prevents direct messages between you, and takes effect immediately on every surface of the Service.

7. Intellectual Property

The TorqueTalk name, logo, app, website, and underlying software are owned by us and protected by copyright, trademark, and other laws. You may not copy, modify, distribute, sell, or lease any part of the Service or its source code without our written permission.

If you believe content on TorqueTalk infringes your copyright, send a notice to hello@torquetalkapp.com including: a description of the work, the URL or location of the alleged infringement, your contact information, a statement that you have a good-faith belief the use is not authorized, a statement under penalty of perjury that the information is accurate and you are authorized to act, and your physical or electronic signature. We may remove the content and notify the user who posted it.

Counter-notice. If your content was removed and you believe the removal was in error or misidentification, you may send a counter-notice to hello@torquetalkapp.com including: identification of the removed material and its location before removal; a statement under penalty of perjury that you have a good-faith belief the material was removed by mistake or misidentification; your name, address, phone number, and consent to the jurisdiction of the federal district court for the district where you reside (or the District of Delaware if you reside outside the United States); and your physical or electronic signature. We will forward your counter-notice to the original complainant. If they do not notify us within 10 business days that they have filed a court action, we may restore the content.

8. Apple App Store Terms

If you use the TorqueTalk iOS app, you acknowledge that:

  • These Terms are between you and TorqueTalk only, not between you and Apple Inc.
  • Apple is not responsible for the iOS app or its content.
  • Apple’s Licensed Application End User License Agreement (“Apple EULA”) also applies. Where these Terms and the Apple EULA conflict, the Apple EULA controls for usage rules.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms for the purpose of enforcing them against you with respect to the iOS app.

9. No In-App Purchases (Beta)

During the beta period, TorqueTalk does not charge for the Service and does not offer in-app purchases or subscriptions. We may introduce paid features in the future; if we do, we will update these Terms and give you notice before any change takes effect.

10. Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of content. We do not guarantee that the Service will be uninterrupted, secure, or error-free, or that content on the Service is true, accurate, or non-infringing.

Meetups and in-person events organized through TorqueTalk are arranged by users, not by us. You attend such events at your own risk.

Ownership verification. Where the Service offers vehicle ownership verification (including tiered badges such as Bronze, Silver, and Gold), those badges represent a good-faith assessment based on the evidence a user submits at a point in time. They are not a guarantee of title, current ownership, condition, authenticity, or fitness of any vehicle. Do not rely on a verification badge as the sole basis for any purchase, sale, loan, or other transaction.

User-generated content. Maintenance logs, fuel logs, reviews, and other content posted by users are submitted by those users and are not verified by us. We do not warrant the accuracy or completeness of any user-submitted information.

11. Limitation of Liability

To the maximum extent permitted by law, TorqueTalk and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or use, arising out of or in connection with the Service. Our aggregate liability for any claim relating to the Service is limited to the greater of (a) the amount you have paid us in the 12 months preceding the claim (which is zero for beta users) or (b) one hundred US dollars (US $100).

12. Indemnification

You agree to indemnify and hold harmless TorqueTalk and its operators from any claim, demand, loss, or expense (including reasonable attorneys’ fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party right.

13. Dispute Resolution — Binding Arbitration and Class Action Waiver

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.

Informal resolution first. Before bringing a formal proceeding, you agree to contact us at hello@torquetalkapp.com with a description of the dispute and what you want as a resolution. We will attempt to resolve the dispute informally for at least 60 days.

Binding arbitration. If we cannot resolve the dispute informally, you and TorqueTalk agree that any dispute arising out of or relating to these Terms or the Service will be resolved through final and binding individual arbitration, not in court. Arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitration will be conducted in English, in the State of Delaware, or remotely if both parties agree.

Class action waiver. You and TorqueTalk agree that each may bring claims against the other only on an individual basis, not as a plaintiff or class member in any class or representative action. If this waiver is found unenforceable, then the entire arbitration agreement is void.

Small claims carve-out. You may bring qualifying claims in small-claims court in your local jurisdiction instead of arbitration, at your option.

Opt-out. You may opt out of this arbitration agreement by sending a written opt-out notice to hello@torquetalkapp.com within 30 days of first accepting these Terms. The notice must include your full name and a clear statement that you wish to opt out.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles. The parties consent to the personal jurisdiction of state and federal courts located in Delaware for any matter not subject to arbitration.

15. Changes to These Terms

We may update these Terms from time to time. If we make a material change, we will notify you by email or in-app notice and update the “Last updated” date at the top of this page. Continued use of the Service after a change means you accept the updated Terms.

16. Miscellaneous

Entire agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and TorqueTalk regarding the Service and supersede any prior agreements on the same subject.

Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect.

No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.

Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent; any attempted assignment in violation of this section is void. We may assign these Terms (including to a successor legal entity formed to operate the Service, or in connection with a merger, acquisition, or sale of assets) without your consent. We will provide notice of any material change in the operator of the Service.
